Account Registration and Eligibility

Service Availability

We do not guarantee that our Services will always be available, uninterrupted, timely, secure, or error-free. We reserve the right to suspend or withdraw or restrict the availability of all or any part of our Services for business and operational reasons without notice.

Service Agreements

In addition to these Terms, when you engage our accounting services, you will be required to enter into a separate Service Agreement that outlines the specific services to be provided, fees, responsibilities, and other terms related to those services.

In the event of any conflict between these Terms and a Service Agreement, the terms of the Service Agreement will prevail with respect to the services covered by that agreement.

Fees and Payment

Service Fees

The fees for our Services are set forth on our website or in your Service Agreement. We reserve the right to change our fees at any time, with notice to you. Continued use of our Services after a fee change constitutes your acceptance of the new fees.

Payment Terms

Payment is due as specified in your Service Agreement or at the time of purchase for one-time services. For subscription services, you authorize us to charge your payment method on a recurring basis for the subscription fees.

Late Payments

If your payment is not received by the due date, we may suspend or terminate your access to our Services. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

Taxes

All fees are exclusive of taxes, which are your responsibility. If we are required to collect taxes on your behalf, the appropriate amount will be added to your invoice.

User Content

Content Ownership

Any content you submit to our Services, including financial data, comments, feedback, or suggestions ("User Content"), remains your property. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with providing our Services.

License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or internal business purposes. This license does not include:

• Any resale or commercial use of our Services or content
• Any collection and use of any product listings, descriptions, or prices
• Any derivative use of our Services or content
• Any downloading or copying of account information for the benefit of another merchant
• Any use of data mining, robots, or similar data gathering and extraction tools

The EasyBooks name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of EasyBooks or its affiliates. You may not use these marks without our prior written permission.

Limitation of Liability

To the fullest extent permitted by law, EasyBooks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use our Services
• Any conduct or content of any third party on our Services
• Any content obtained from our Services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims arising from or related to the Services exceed the greater of:

• The amount you have paid to EasyBooks for the Services in the 12 months prior to the event giving rise to the liability, or
• £500

The limitations of liability set forth above are fundamental elements of the basis of the bargain between EasyBooks and you.

Disclaimer of Warranties

Your use of our Services is at your sole risk. Our Services are provided on an "AS IS" and "AS AVAILABLE" basis. EasyBooks expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

EasyBooks makes no warranty that:

• Our Services will meet your requirements
• Our Services will be uninterrupted, timely, secure, or error-free
• The results that may be obtained from the use of our Services will be accurate or reliable
• The quality of any products, services, information, or other material purchased or obtained by you through our Services will meet your expectations

No advice or information, whether oral or written, obtained by you from EasyBooks or through our Services shall create any warranty not expressly stated in these Terms.

Indemnification

You agree to defend, indemnify, and hold harmless EasyBooks, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of our Services
• Your User Content
• Your violation of any rights of another

Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).

Termination

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use our Services will immediately cease. If you wish to terminate your account, you may simply discontinue using our Services or contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last updated" date.

Your continued use of our Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.

Miscellaneous

Entire Agreement

These Terms, together with any Service Agreements, constitute the entire agreement between you and EasyBooks regarding our Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning our Services.

Waiver

No failure or delay by EasyBooks in exercising any right under these Terms shall constitute a waiver of that right.

Severability

Assignment

You may not assign any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without your consent.

Force Majeure

EasyBooks shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, civil unrest, government action, labor disputes, or internet service provider failures.
